I buy products from other divisions of Kimberly-Clark Corporation. Does this change affect any of those purchases?

The spin-off only affects the Technical Products, Fine Paper and Pulp portions of the Kimberly-Clark Corporation. Products that you procure from the Nonwoven Fabrics, Health Care, Professional or any other division of Kimberly-Clark are still available from the corporation without any change. Visit

There will be no change made to existing products due solely to the change in ownership of the company. However, with the increased ability to reinvest in the business, there will be increased focus on working with customers to develop products that fit specific needs.

Will the agreements that I currently have with Kimberly-Clark still be in effect?

Any agreements that exist between Kimberly-Clark Technical Paper and your company will continue to be in effect until such time as they expire or are replaced by an agreement from Neenah Paper. We will be in touch with you if there is any need to re-authorize agreements as a result of this change of ownership. Feel free to call your sales rep if you have more specific questions.

Why is Neenah Paper being spun-off by Kimberly-Clark?

The separation of Neenah Paper from Kimberly-Clark provides each company with certain opportunities and benefits. Neenah Paper can realign its management structure to better focus and more quickly take advantage of unique opportunities in our own product markets. In addition, the separation allows us to reinvest our financial resources and cash flows in our pulp and paper businesses. Similarly, it will allow Kimberly-Clark to concentrate management and financial resources on its health and hygiene businesses.

How did the separation and distribution work?

The separation and distribution was accomplished through a series of transactions in which the assets and liabilities of Kimberly-Clark's Canadian pulp business and its fine paper and technical paper businesses in the United States were transferred to us and all of the shares of our common stock were then distributed to the stockholders of Kimberly-Clark on a pro rata basis.

What will Neenah Paper's relationship be with Kimberly-Clark after the distribution?

Neenah Paper and Kimberly-Clark are now completely separate, publicly owned companies. However, we have entered into certain agreements with Kimberly-Clark to define our ongoing relationship after the distribution. For example, Kimberly-Clark will purchase pulp from our mills after the distribution pursuant to the terms of a pulp supply agreement, and there are other agreements relating to our employees and governing certain transition services and taxes.
